These Terms and Conditions ("Terms") govern your access to and use of the website and export sales services offered by Rabia Motors ("we", "us", or "our"). By accessing our website, creating an account, submitting an inquiry, or placing an order, you agree to these Terms.

If you do not agree, you must not use our website or services.

2. Services

We provide export sales of used and pre-owned vehicles to international buyers. Our services may include inventory listings, quotations, proforma invoices, payment coordination, export documentation support, and shipment arrangement to designated ports.

Unless expressly agreed in writing, we act as a seller and export coordinator and do not provide import clearance, local registration, or on-the-ground services in your destination country.

3. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts. If you act on behalf of a company, you confirm that you are authorized to bind that entity.

4. Website Use and Accounts

• You agree to provide accurate and complete information in inquiries, registrations, and orders.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must not misuse the website, attempt unauthorized access, interfere with security features, scrape data unlawfully, or use the platform for fraudulent or unlawful purposes.
• We may suspend or terminate accounts that violate these Terms or create security or legal risk.

5. Vehicle Listings and Information

Vehicle listings, photographs, specifications, mileage readings, condition notes, and availability are provided in good faith based on inspection and supplier information at the time of listing.

• All vehicles are subject to prior sale and availability until confirmed in a written proforma invoice or sales agreement.
• Minor differences in color, trim, accessories, or cosmetic condition may exist between photos and the actual unit.
• Odometer readings and mechanical condition are stated as observed; used vehicles are sold on an "as-is" basis unless a written warranty is expressly provided.
• We reserve the right to correct listing errors and withdraw vehicles from sale without liability.

6. Pricing

Prices displayed on the website are indicative unless confirmed in writing.

• FOB (Free On Board) prices generally include the vehicle and export preparation to the port of loading unless stated otherwise.
• CIF or similar quotations may include estimated freight and insurance, which can change due to shipping market conditions.
• Final pricing, currency, inclusions, and exclusions are defined only in your approved proforma invoice or sales contract.
• Bank charges, transfer fees, currency conversion costs, and intermediary fees are borne by the buyer unless agreed otherwise.

7. Orders, Quotations, and Contract Formation

• An inquiry or website request does not constitute a binding order.
• A contract is formed only when we issue a written proforma invoice or sales confirmation and you accept it according to our stated payment instructions.
• Order numbers, stock numbers, and customer references must be quoted in all payments and correspondence.

8. Payment Terms

Payment terms are specified in your proforma invoice. Unless otherwise stated:

• A deposit may be required to reserve a vehicle and commence export processing.
• Full payment may be required before shipment or release of export documents.
• We accept payment only to our official company bank accounts listed on approved invoices.
• We are not responsible for losses arising from payments sent to unauthorized accounts or third parties.

9. Inspection

Where inspection reports or photos are provided, they reflect the condition at the time of inspection. Additional inspection may be arranged before shipment where agreed in writing and subject to additional fees and timing constraints.

10. Shipping, Export Documentation, and Delivery

• Shipment schedules, vessel names, ETAs, and transit times are estimates and may change due to port congestion, weather, carrier schedules, customs inspections, or force majeure events.
• We will use reasonable efforts to arrange export documentation including invoice, packing list, bill of lading or equivalent, and other documents customary for vehicle export from the UAE.
• Risk of loss or damage generally passes according to the agreed Incoterm in your invoice, commonly upon loading at port for FOB sales.
• Delivery to your destination port does not include local import clearance, duties, taxes, unloading, or inland transport unless expressly included in writing.

11. Buyer Responsibilities

International buyers are solely responsible for:

• Import permits, compliance certificates, emissions rules, and local registration requirements
• Customs duties, import taxes, VAT/GST, port handling, and local charges in the destination country
• Verifying that the vehicle model, year, steering configuration, and specifications are legally importable
• Arranging local collection, clearance, and onward transport after arrival

12. Cancellations, Refunds, and Defaults

• Cancellation requests must be submitted in writing. Acceptance depends on order status, costs already incurred, and contractual terms.
• Deposits may be non-refundable once a vehicle is reserved, documentation is prepared, or export processing has commenced.
• If you fail to pay according to agreed terms, we may cancel the order, resell the vehicle, and apply contractual charges or forfeitures as permitted by law and your invoice.
• Refunds, if approved, are processed only to the original payer where practicable and may take several banking days.

13. Warranties and Disclaimers

Except as expressly stated in a written agreement, vehicles are sold without implied warranties of merchantability, fitness for a particular purpose, or non-infringement to the fullest extent permitted by law.

We do not warrant uninterrupted website access, error-free listings, or exact future shipping dates.

14. Limitation of Liability

To the maximum extent permitted by applicable law, Rabia Motors shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, business interruption, or import penalties arising from buyer non-compliance.

Our aggregate liability arising out of any order or these Terms shall not exceed the total amount paid by you to us for that specific vehicle, except where liability cannot be limited by law.

15. Force Majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, war, sanctions, port closures, carrier failures, government actions, pandemics, or severe supply chain disruption.

16. Intellectual Property

All website content, branding, logos, text, images, and layout are owned by or licensed to Rabia Motors. You may not copy, reproduce, distribute, or exploit our content without prior written consent.

17. Privacy

Your use of our services is also governed by our Privacy Policy, which explains how we collect and use personal information.

18. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

The courts of Dubai, United Arab Emirates shall have exclusive jurisdiction over disputes arising from these Terms or related transactions, unless mandatory local consumer protection laws in your country provide otherwise.

19. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the website after changes constitutes acceptance of the updated Terms.
